Terms and Conditions

The terms that govern your use of CooplyHQ.

Effective date: June 23, 2026
Last updated: October 22, 2026

Important — please read Section 18

Section 18 requires most disputes between you and CooplyHQ to be resolved by binding individual arbitration instead of in court, and waives your right to a jury trial and your right to participate in a class action.

It is not in effect yet. It was published on November 4, 2026 and takes effect on January 5, 2027. Until that date, disputes are resolved in court as Section 18.13 describes. You can reject the arbitration agreement and keep using CooplyHQ — Section 18.11 says how, and how long you have. Small-claims cases, claims for public injunctive relief, and the claims listed in Section 18.5 are never sent to arbitration.

1. Agreement to these Terms

These Terms and Conditions ("Terms") are a legal agreement between you and CooplyHQ, LLC ("CooplyHQ," "we," "us," or "our") governing your access to and use of cooplyhq.com, any CooplyHQ-hosted co-op subdomain, our software, APIs, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

If you accept these Terms on behalf of a homeschool co-op, organization, school, church, or other entity (the "Co-op"), you represent that you are authorized to bind that entity, and "you" refers to that entity and to you personally as its authorized representative.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to create an account. By using the Service, you represent that you meet this requirement.

The Service is not designed for or directed to children under 13, and we do not knowingly allow children to create accounts. Information about minors may appear in the Service only when an adult Co-op administrator enters it on behalf of the Co-op pursuant to Section 8.

You may not use the Service if applicable export-control, sanctions, or other laws prohibit you from doing so.

3. Description of the Service

The Service provides software tools that allow homeschool co-ops and similar organizations to build and host websites, manage members and rosters, schedule classes, accept payments, and communicate with families. Specific features and limits depend on the subscription plan you select.

We may add, modify, or discontinue features at any time. If we make a material adverse change to the Service that affects a paid subscription, we will use reasonable efforts to give you advance notice and, where appropriate, a pro-rated refund of pre-paid fees for the unused portion.

4. Accounts

To use most features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information and keep it updated.
  • Keep your credentials confidential and not share them.
  • Be responsible for all activity that occurs under your account.
  • Notify us promptly at support@cooplyhq.com if you suspect unauthorized access.

We may suspend or terminate accounts that contain false information, that are inactive for an extended period, or that violate these Terms.

5. Subscriptions, billing, and refunds

5.1 Plans and fees

Some features of the Service require a paid subscription. Current plans and prices are listed on cooplyhq.com or in the Service. By selecting a plan, you authorize us (and our payment processor, Stripe) to charge the payment method you provide for the applicable fees, including any taxes.

5.2 Free trials and automatic conversion to a paid subscription

Our paid plans start with a 30-day free trial. We do not ask for a payment card to begin one, and we charge nothing during the trial. Our Free plan has no trial because it is never charged at all.

What happens when the trial ends. This is an automatic-renewal term, so read it:

  • If you have added a payment card before the trial ends, we will charge it. On the day your trial ends we start a paid annual subscription to the plan you were trialing and charge the then-current yearly price for that plan to the card on file, plus any applicable taxes, without asking again. The subscription then renews annually under Section 5.3. We email you a confirmation when paid billing begins.
  • If you have not added a card, we do not charge you. Your co-op moves into a 7-day grace period and we email you about it. Add a card at any point during those 7 days and your co-op returns to normal immediately, converting as described above.
  • If the grace period ends with still no card, we suspend the account. Suspension blocks access to the paid features. We do not delete your data when we suspend — it is preserved, and adding a payment card restores access. Deletion only happens under Section 13.

Reminders. We email the account's administrator before the trial ends — currently at 7, 3 and 1 days out — so the conversion is not a surprise.

How to avoid the charge. Cancel before the trial ends, in one click, from Billing → Subscription in your account settings. No email, phone call, or explanation is required. You can also simply not add a payment card, in which case the path above applies and nothing is ever charged.

5.3 Auto-renewal

Subscriptions renew automatically at the end of each yearly billing period at the then-current price, until you cancel. You authorize recurring charges to your payment method on file.

5.4 Cancellation

You may cancel at any time from your account settings or by emailing support@cooplyhq.com. Cancellation stops future renewals; access to paid features continues until the end of the current billing period.

5.5 Refunds

Fees are non-refundable except where required by law or expressly stated in this section. We may, in our discretion, offer a pro-rated refund where we discontinue a material feature you relied on, or where we have made a billing error.

5.6 Past-due amounts

If a charge fails or an invoice is past due, we may suspend access to the paid features of the Service until the balance is resolved. You are responsible for reasonable collection costs.

5.7 Taxes

Fees are exclusive of taxes unless stated otherwise. You are responsible for any sales, use, value-added, or similar taxes applicable to your purchase, other than taxes on our net income.

6. Acceptable use

You agree not to, and not to allow anyone using your account to:

  • Violate any law or the rights of any third party, including intellectual-property, privacy, publicity, or contractual rights.
  • Upload, send, or store content that is unlawful, harassing, defamatory, hateful, sexually explicit involving minors, or that incites violence.
  • Use the Service to send spam, phishing, malware, or other unsolicited or harmful communications.
  • Attempt to gain unauthorized access to the Service, other users' accounts, or any systems or networks connected to the Service.
  • Probe, scan, or test the vulnerability of the Service except as part of a coordinated disclosure approved in writing.
  • Reverse engineer, decompile, or attempt to derive the source code of any part of the Service, except to the extent expressly permitted by law.
  • Resell or sublicense the Service, except as expressly permitted in writing.
  • Use the Service to compete with us or to build a competing service.
  • Use bots, scrapers, or other automated means to access the Service except for the limited and clearly identified purposes of public-content indexing by search engines acting on your behalf.
  • Interfere with or disrupt the Service or impose an unreasonable load on our infrastructure.

We may investigate and respond to suspected violations and may suspend or terminate access to address them.

7. Your content and license to us

7.1 Ownership

You retain ownership of the content you and your Co-op members upload, post, or otherwise provide through the Service ("Customer Content"). We do not claim ownership of Customer Content.

7.2 License to operate the Service

You grant CooplyHQ a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, modify (for formatting and technical purposes), and otherwise use Customer Content solely as necessary to provide, secure, support, and improve the Service for you and your Co-op. This license terminates when you delete the Customer Content or close your account, except for content that we are required to retain to comply with law or that has been incorporated into back-up systems and will be purged in the ordinary course.

7.3 Your responsibility for Customer Content

You represent and warrant that:

  • You have all rights necessary to upload and use Customer Content through the Service.
  • Customer Content does not violate any third-party right or any law.
  • Where Customer Content includes personal information about third parties (including children — see Section 8), you have all necessary consents and authorizations to share it with us under our Privacy Policy.

7.4 Aggregated and de-identified data

We may generate aggregated and de-identified data from Customer Content and other usage data for purposes such as product improvement, analytics, and benchmarking. Aggregated and de-identified data does not identify you or any individual and is not Customer Content.

8. Children's information and COPPA acknowledgment

A core feature of the Service is helping Co-ops manage rosters of families and enrolled students, which may include children under 13.

You (the Co-op administrator and the Co-op) represent, warrant, and agree that:

  • You have an established relationship with the parents or legal guardians of each minor whose information you place in the Service.
  • You have obtained, or will obtain, any parental consent required by the federal Children's Online Privacy Protection Act ("COPPA"), the California Consumer Privacy Act as amended by the California Privacy Rights Act ("CCPA/CPRA"), and any other applicable children's-privacy or student-privacy law (including the Family Educational Rights and Privacy Act ("FERPA") to the extent it applies), before you enter or upload information about a minor into the Service.
  • You will use the Service's tools to honor any subsequent parental request to review, correct, or delete a child's information.
  • You will not direct CooplyHQ to use children's information for any purpose other than providing the Service.

CooplyHQ acts as the Co-op's service provider with respect to children's personal information entered through the Service. We use that information solely to provide the Service to the Co-op. We do not sell or share children's personal information for cross-context behavioral advertising, do not use it to build third-party profiles, and do not retain it longer than necessary to provide the Service or comply with law.

You will defend, indemnify, and hold harmless CooplyHQ for any claim arising from your failure to obtain required parental or guardian consents, or your failure to comply with your obligations under applicable children's-privacy or student-privacy laws.

9. CooplyHQ intellectual property

The Service, including the software, design, templates, documentation, trademarks, and all related intellectual property, is owned by CooplyHQ or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service in accordance with these Terms.

We reserve all rights not expressly granted to you. The names "CooplyHQ" and any associated logos are our trademarks; you may not use them without our prior written permission, except to truthfully describe that you use the Service.

If you submit suggestions, feedback, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use the Feedback for any purpose without obligation to you.

10. Third-party services

The Service may interoperate with or link to third-party services (for example, payment processing through Stripe, email delivery through Brevo, authentication through WorkOS, and hosting on Laravel Cloud / Cloudflare). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and their availability or behavior is outside our control.

11. Text messages

If you opt in to text messages, CooplyHQ sends them on behalf of the co-op you belong to. Each message names both CooplyHQ and the sending co-op. Texts are used only for urgent co-op alerts, such as class cancellations and schedule changes.

Message frequency varies. Msg & data rates may apply. Reply STOP to cancel, HELP for help.

For help, email support@cooplyhq.com.

12. Beta and preview features

We may offer features identified as "beta," "preview," "experimental," or similar. Those features are provided as-is and may be changed, suspended, or discontinued at any time without notice. They are not subject to any service-level commitment.

13. Suspension and termination

You may stop using the Service and close your account at any time.

We may suspend or terminate your access to all or part of the Service, with or without notice, if:

  • You materially breach these Terms, our Privacy Policy, or our Acceptable Use rules.
  • Your use creates a security, legal, or operational risk to CooplyHQ or other users.
  • We are required to do so by law or order of a competent authority.
  • Your account remains unpaid after a reasonable cure period.
  • We discontinue the Service or a material portion of it.

On termination, your right to use the Service ends, and we may delete Customer Content after a reasonable retention period unless we are required to retain it. We will use reasonable efforts to give you an opportunity to export Customer Content before deletion in non-cause terminations.

Sections of these Terms that by their nature should survive termination (including, without limitation, Sections 7.3, 8, 9, 14, 15, 16, 18, 19, and 20) will survive.

14. Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the disclaimers above apply only to the maximum extent permitted by law.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL COOPLYHQ, ITS AFFILIATES, OR ITS OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR
  • LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES,

ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply to the maximum extent permitted by law and apply to all claims, whether in contract, tort, statute, or any other theory.

16. Indemnification

You will defend, indemnify, and hold harmless CooplyHQ, its affiliates, and its and their officers, directors, employees, and agents from and against any third-party claim, demand, or proceeding, and any related damages, fines, costs, and attorneys' fees, arising out of or related to:

  • Your or your Co-op's use of the Service in violation of these Terms or applicable law;
  • Customer Content you submit or that anyone using your account submits;
  • Your collection or handling of personal information about third parties, including children (see Section 8); and
  • Your representations and warranties under these Terms.

We will give you prompt notice of the claim, reasonable cooperation, and control of the defense and settlement, except that any settlement that requires anything from us other than payment of money requires our prior written consent (not to be unreasonably withheld).

17. DMCA and copyright

We respect intellectual-property rights. If you believe content in the Service infringes your copyright, send a notice that complies with the Digital Millennium Copyright Act to legal@cooplyhq.com. We may remove or disable access to content in response to a valid notice and may terminate accounts of repeat infringers. See our DMCA Policy for the full procedure under 17 U.S.C. §512.

18. Governing law, arbitration, and dispute resolution

18.1 When this Section takes effect

The arbitration agreement and class-action waiver in this Section 18 were published on November 4, 2026 and take effect on January 5, 2027.

If you accepted these Terms before January 5, 2027, Sections 18.4 through 18.10 and Section 18.12 do not apply to you until that date. Section 18.11 applies now — it is how you reject the arbitration agreement, so it has to be available before the agreement binds anyone. Until January 5, 2027, a dispute that informal resolution does not settle is brought in the courts named in Section 18.13, which is where the previous version of this Section sent it. A claim you file in court before January 5, 2027 stays in court; we will not ask a court to send it to arbitration on the strength of this Section.

We will give notice of this change as Section 19 requires, before January 5, 2027. If you do not want to be bound by the arbitration agreement, Section 18.11 is how you say so, and you may do it before or after that date within the window stated there.

18.2 Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The Federal Arbitration Act, 9 U.S.C. §§1 et seq., governs the interpretation and enforcement of the arbitration agreement in this Section 18, including whether a dispute must be arbitrated.

18.3 Informal resolution comes first, and it is required

Before starting an arbitration or filing a claim in court, the party raising the dispute must send the other a written description of it (an “Informal Notice”). Your Informal Notice goes to legal@cooplyhq.com or to CooplyHQ, LLC, PO Box 4601, Milton, FL 32572, and must include your name, the email address on your account, your co-op, what happened, and what you want. Ours goes to the email address on your account.

Within forty-five (45) days of the Informal Notice, both of us will confer in good faith by telephone or video to try to resolve it. If the dispute is not resolved within sixty (60) days of the Informal Notice, either party may begin arbitration or, for a claim excluded under Section 18.5, file in court.

Any limitations period and any arbitration filing deadline is paused from the date an Informal Notice is sent until the sixty (60) days run out, so using this process cannot cost you a claim. Whether this Section 18.3 was satisfied is decided by a court, not by an arbitrator (Section 18.7).

18.4 Agreement to arbitrate, individually

Except for what Section 18.5 excludes, you and CooplyHQ agree that every dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with CooplyHQ — whether based on contract, tort, statute, fraud, misrepresentation, or any other theory, and whether it arose before or after you agreed to these Terms — will be resolved by binding arbitration on an individual basis rather than in court.

Arbitration is administered by JAMS (jamsadr.com) under its rules in effect when the arbitration begins. Claims under $250,000, excluding fees and interest, use the JAMS Streamlined Arbitration Rules; larger claims use the JAMS Comprehensive Arbitration Rules. Where you are a consumer, the JAMS Consumer Arbitration Minimum Standards apply and control over anything in this Section that is less favorable to you.

Unless we agree otherwise, any in-person hearing takes place in the county where you live. For a claim of $25,000 or less you may choose instead to have it decided on documents alone, or by telephone or video, at no hearing cost to you. The arbitrator must apply the law and must issue a written decision explaining the findings and conclusions it rests on. Judgment on the award may be entered by any court with jurisdiction.

Neither of us is required to keep the existence of a dispute, the award, or any underlying facts confidential. Each party may continue to treat its own trade secrets and confidential information as confidential.

18.5 What this Section never sends to arbitration

The arbitration agreement in Section 18.4 does not apply to, and does not restrict:

  • A claim brought on an individual basis in small-claims court, for as long as it stays there and stays individual. Either of us may insist on small claims for a claim within that court's limits.
  • A request for injunctive or other equitable relief to protect intellectual-property or confidential-information rights, which either party may bring in any court of competent jurisdiction.
  • A claim for public injunctive relief on behalf of the general public, which may be brought in the courts named in Section 18.13. Nothing in this Section waives that remedy where the law provides it.
  • A dispute alleging sexual assault or sexual harassment. Under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2022, you may choose to bring such a claim in court even though this Section would otherwise cover it, and the choice is yours alone.
  • A complaint to a government agency. Nothing in these Terms prevents you from reporting conduct to, or seeking relief through, the Federal Trade Commission, a state attorney general, a data-protection authority, or any other agency, and nothing here requires you to arbitrate first.
  • Any claim that applicable law does not permit to be arbitrated or does not permit to be waived in advance.

This Section binds only the people and entities that agreed to these Terms. It does not and cannot bind a person who is not a party to them — including a child whose information an adult administrator entered under Section 8. A claim belonging to such a person is not covered by this Section 18, and an adult's acceptance of these Terms is not an agreement to arbitrate on that person's behalf.

18.6 Who pays for the arbitration

Where you are a consumer, your share of the JAMS filing, administrative, and arbitrator fees is capped at $250, and CooplyHQ pays everything above that, whoever wins. If JAMS requires a smaller share from you, that smaller amount applies. If paying even the $250 would prevent you from bringing a claim, tell us at legal@cooplyhq.com and we will pay it.

Where you are acting as a Co-op or another organization rather than as a consumer, JAMS fees are allocated under the JAMS rules.

Each party otherwise bears its own attorneys' fees and costs, with two exceptions. CooplyHQ will not seek its attorneys' fees or costs from you unless the arbitrator finds your claim was frivolous or brought in bad faith under the standard of Federal Rule of Civil Procedure 11. And nothing in this Section limits your right to recover attorneys' fees, costs, or any other remedy that a statute gives a prevailing claimant; the arbitrator must award them where the statute provides for them.

18.7 What the arbitrator decides, and what a court decides

The arbitrator decides all issues arising out of or relating to a dispute covered by Section 18.4, including the scope, interpretation, and enforceability of the arbitration agreement, except that a court, not an arbitrator, decides:

  • any challenge to the class-action waiver in Section 18.9;
  • any dispute about the fee allocation in Section 18.6;
  • whether the informal-resolution requirement in Section 18.3 was satisfied; and
  • which version of this Section 18 applies to a given claim, including whether the dates in Section 18.1 had passed when the claim arose.

The arbitrator may award any individual relief a court could award on the same claim, including statutory damages and injunctive relief specific to you. The arbitrator may not award relief for, or against, anyone who is not a party to that arbitration.

18.8 Waiver of jury trial

BY AGREEING TO ARBITRATION UNDER THIS SECTION 18, YOU AND COOPLYHQ EACH GIVE UP THE RIGHT TO A TRIAL BY JUDGE OR JURY FOR EVERY CLAIM THE ARBITRATION AGREEMENT COVERS. You keep your right to a jury for anything Section 18.5 excludes.

18.9 Waiver of class actions and collective proceedings

CLAIMS COVERED BY SECTION 18.4 MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY. NEITHER YOU NOR COOPLYHQ MAY BRING SUCH A CLAIM AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, AND AN ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF CLASS PROCEEDING.

This waiver does not apply where the law does not permit it, and does not waive any representative claim that applicable law makes non-waivable.

18.10 If part of this Section is unenforceable

If the class-action waiver in Section 18.9 is held unenforceable as to a particular claim, that claim is severed from arbitration and proceeds in the courts named in Section 18.13, and no part of it may be arbitrated. Every other claim remains subject to arbitration. The waiver in Section 18.9 is not severable from the agreement to arbitrate in Section 18.4 for that claim: we do not agree to class arbitration, and an arbitrator has no authority to conduct one under any circumstances.

If any other provision of this Section 18 is held unenforceable, that provision is severed and the rest of this Section stays in force. If Section 18.4 as a whole is held unenforceable, Section 18.13 governs the dispute. The remainder of these Terms is unaffected either way.

18.11 How to reject this arbitration agreement

You can refuse the arbitration agreement and go on using CooplyHQ exactly as before. To do it, send us a written rejection:

  • by email to legal@cooplyhq.com with the subject line “Arbitration opt-out”; or
  • by mail to CooplyHQ, LLC, Attn: Arbitration opt-out, PO Box 4601, Milton, FL 32572.

Include your full name, the email address on your account, your co-op's name, and a statement that you reject the arbitration agreement in Section 18. You have:

  • If you accepted these Terms before January 5, 2027: any time up to January 5, 2027, plus thirty (30) days after it.
  • If you first accept these Terms on or after January 5, 2027: thirty (30) days from the day you first accept them.

A rejection takes effect when we receive it. We will confirm it in writing; if you do not hear from us within fourteen (14) days, write again, because an unconfirmed rejection is still a valid one and we would rather find the gap than argue about it later. Sections 18.4 through 18.10 then do not apply to you, now or under any later revision of this Section, unless you separately and affirmatively agree to arbitrate after rejecting. The rest of these Terms, including Section 18.13, continues to apply.

Rejecting costs you nothing. We will not terminate, suspend, downgrade, reprice, or otherwise treat your account or your co-op differently because you rejected arbitration, and rejecting is not a breach of these Terms.

18.12 Many similar claims at once

If twenty-five (25) or more arbitration demands raising substantially similar claims are filed against CooplyHQ within a sixty (60) day period by, or with the coordination or assistance of, the same law firm or group, the JAMS Mass Arbitration Procedures and the JAMS mass-arbitration fee schedule apply and both parties will confer in good faith with JAMS on an orderly sequence for hearing them.

Sequencing does not cost anyone their claim. Every limitations period and filing deadline is paused for every claimant in the group from the day their demand is filed until their claim is reached, no claim may be dismissed or denied for delay caused by the sequence, and any claimant whose claim has not been reached within two hundred and seventy (270) days of filing may withdraw it from arbitration and bring it in the courts named in Section 18.13 instead.

18.13 Courts, for everything arbitration does not cover

Any claim that this Section does not send to arbitration — because Section 18.5 excludes it, because you rejected arbitration under Section 18.11, because a court held the Section 18.9 waiver unenforceable as to it, because Section 18.1's effective date had not arrived, or because the arbitration agreement was held unenforceable — is brought exclusively in the state or federal courts located in Santa Rosa County, Florida, and you and we consent to the personal jurisdiction of those courts. A small-claims action under Section 18.5 may instead be brought where that court's own rules allow.

Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual-property or confidential-information rights.

18.14 Rights this Section does not take away

You may have additional rights under the consumer-protection laws of your jurisdiction, which are not waived by this Section. If any part of this Section conflicts with a non-waivable right the law gives you, that right wins and the rest of this Section still applies.

19. Changes to the Service and to these Terms

We may modify these Terms from time to time. If we make a material change, we will provide reasonable notice (for example, by email or by an in-product notice) before the change takes effect. If you do not agree to a change, your remedy is to stop using the Service. Continued use after the effective date of a change constitutes acceptance.

One change you can refuse without leaving. The arbitration agreement and class-action waiver in Sections 18.4 through 18.10 are an exception to the paragraph above: you may reject them under Section 18.11 and go on using the Service under the rest of these Terms. We will not treat that rejection as a refusal to accept these Terms.

20. General

  • Entire agreement. These Terms, together with the Privacy Policy and any plan-specific terms presented at checkout, are the entire agreement between you and us regarding the Service.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be interpreted to give effect to its intent to the maximum extent permitted by law.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, financing, or sale of assets.
  • No agency. These Terms do not create any partnership, joint venture, agency, employment, or franchise relationship.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control, such as natural disasters, war, terrorism, civil disturbance, labor disputes, internet or third-party service failures, or governmental action.
  • Notices. Notices to you may be sent by email to the address on your account or by in-product notification. Notices to us must be sent to legal@cooplyhq.com with a copy to PO Box 4601, Milton, FL 32572.
  • Headings. Headings are for convenience and do not affect interpretation.
